This policy explains how we collect, use, and protect personal information in accordance with Japan's Act on the Protection of Personal Information (個人情報の保護に関する法律, "APPI") and applicable international data protection standards.
Scope and Application
This policy applies to SoftSource K.K. ("SoftSource," "we," "us") and governs all personal information provided by candidates, clients, and business partners in connection with our executive search and leadership advisory services. By engaging with SoftSource, you consent to the collection and use of your information as described in this policy.
Personal Information We Collect
We collect personal information necessary to deliver executive search services. This may include:
- Name, contact information, and professional profile
- Employment history, qualifications, and career objectives
- Current and desired compensation information
- References and background information provided or obtained during the search process
- Communications between you and SoftSource, including interview notes and assessments

- Providing executive search and recruitment services to candidates and clients

Disclosure of Personal Information
SoftSource will not disclose personal information to third parties except in the following circumstances:
- With the candidate's explicit consent — typically when presenting a profile to a specific client
- To client companies, limited to information necessary to assess candidacy for a specific role
- To service providers bound by confidentiality obligations who support our operational processes
- Where required by law, regulation, or a competent government authority
- In connection with a business succession event, subject to confidentiality obligations
Data Retention
We retain personal information only for as long as necessary to fulfil the purposes described in this policy, or as required by applicable law. Candidates may request deletion of their information at any time by contacting us using the details below.
Your Rights Under APPI
Under Japan's Act on the Protection of Personal Information, you have the right to:
- Request disclosure of personal information held by SoftSource
- Request correction of inaccurate information
- Request suspension of use or deletion of your information
- Withdraw consent to processing where consent is the legal basis
Requests should be submitted to info@softsource.jp. We will respond within a reasonable period in accordance with applicable law.
Security
SoftSource implements appropriate physical, technical, and organisational measures to protect personal information against unauthorised access, loss, disclosure, or misuse. Our consultants are trained in data handling obligations and access to candidate information is limited to those with a legitimate need.

個人情報の取り扱いについて
合同会社ソフトソース(以下「当社」)は、個人情報の保護に関する法律(個人情報保護法)に基づき、以下の方針に従って個人情報を適切に取り扱います。

- 候補者・クライアントから直接ご提供いただく場合
- 当社ウェブサイトへのアクセス時に自動的に記録される場合
- 第三者(紹介者、VC、投資家等)を通じて間接的に取得する場合
- 公開情報(LinkedIn、会社ウェブサイト等)から取得する場合
個人情報の利用目的
当社は、取得した個人情報を以下の目的にのみ使用します。

当社は、原則として、人種、信条、社会的身分、病歴、犯罪歴、犯罪被害情報等のセンシティブな個人情報については、候補者ご本人からの提供がない限り取得・利用いたしません。

Under Japan's amended Act on the Protection of Personal Information, SoftSource K.K. is required to disclose, at the country level, where candidate personal data may be transferred outside Japan, and to describe the data protection framework in each destination country.

Our Standard Practice
- We inform candidates of the specific destination country before sharing any profile with an international client
- We obtain explicit written or verbal consent (recorded) before cross-border transfer
- We limit shared information to that which is necessary to assess candidacy for the specific role
- We do not transfer sensitive personal information (health, beliefs, criminal record) across borders
- Candidates may withdraw consent and request deletion at any time prior to placement
外国にある第三者への提供について(日本語)
当社は、候補者の個人データを外国にある第三者(クライアント企業)に提供する場合、提供前に候補者ご本人から同意を得るとともに、提供先の国名および当該国の個人情報保護制度に関する情報を事前に開示します。個人情報保護法第24条に基づき、候補者は当該外国の個人情報保護制度について情報提供を受ける権利を有します。詳細については info@softsource.jp までお問い合わせください。

Anti-Social Forces Exclusion Policy
SoftSource K.K. ("SoftSource") is committed to maintaining the integrity of Japan's business community and to the elimination of anti-social forces from all aspects of its business operations. This policy reflects the guidelines of the National Police Agency of Japan and the standard corporate compliance expectations of enterprise clients operating in Japan.
Declaration
SoftSource K.K. hereby declares that it will:
- Refuse all relationships with organised crime groups (暴力団), their members, quasi-members, affiliated companies, and any other anti-social forces (反社会的勢力) regardless of the stated purpose of the relationship
- Not engage in or facilitate any transaction that involves, benefits, or supports anti-social forces in any form — including financial transactions, business dealings, or candidate placements
- Not yield to demands or threats from anti-social forces under any circumstances, including threats to the firm, its partners, or its clients
- Take prompt and resolute legal action, in cooperation with law enforcement and legal counsel, should any unlawful demand be received
- Ensure that all contractual agreements with clients and candidates include anti-social forces exclusion provisions, and terminate agreements where any party is found to be connected with anti-social forces
- Not conduct business with any company or individual that is found, after engagement, to be associated with anti-social forces — and terminate the relationship immediately upon discovery
Contractual Provisions
All engagement agreements entered into by SoftSource K.K. include representations and warranties by both parties that neither is, nor has any involvement with, anti-social forces. Discovery of such involvement constitutes grounds for immediate termination of the agreement without penalty to the non-involved party.

合同会社ソフトソース(以下「当社」)は、社会的責任を果たすため、反社会的勢力(暴力団、暴力団員、暴力団準構成員、暴力団関係企業、総会屋、社会運動標榜ゴロ、政治活動標榜ゴロ、特殊知能暴力集団等)との一切の関係を遮断し、その排除に取り組みます。

Fees — Candidates
SoftSource does not charge candidates any fee for our placement services. All fees are borne by client companies.

Fees — Client Companies (届出制手数料)
Retainer: Agreed percentage of anticipated first-year compensation, payable on engagement. Success fee: Up to 30–35% of first-year total compensation upon acceptance.
Retainer is credited against the success fee. Retained mandates are exclusive to SoftSource.
Success fee: Up to 30% of first-year total compensation per placement.
Retained or success-based depending on scope and stage. Agreed per engagement.

Fees are exclusive of consumption tax (消費税別). Specific fee structures are confirmed in writing prior to commencement of each engagement. Terms may vary depending on mandate scope and agreement.
Refund Policy (返金規定)
案件により上記の限りではない場合もございます。消費税は含まれておりません。
Handling of Candidate Information
The person responsible for handling candidate personal information and complaints related to our placement services is Kevin Quinn, Representative Director. Upon receiving a request for information disclosure from a candidate, we will disclose necessary information based on objective fact with minimum delay. If a correction is requested and the request is consistent with objective fact, we will make the correction promptly.
Prohibited Conduct
SoftSource does not engage in the following practices:
- Introducing candidates to positions at companies that are party to a currently certified labour dispute (争議行為中の企業), in accordance with Article 20 of the Employment Security Act
- Introducing candidates to companies that have received a remedial order or business suspension order from the Ministry of Health, Labour and Welfare (厚生労働省) that remains in effect
- Charging candidates any fee for placement services
- Withholding placement from any candidate on grounds of race, nationality, gender, age, religion, or disability
- Providing false or misleading information regarding positions or client companies
- Disclosing candidate information to third parties without prior consent
- Introducing candidates to roles that have already been filled without prior disclosure to the candidate
